		Classification				Explanation
		Limited Liability Partnership (LLP)				An LLP is a new vehicle for doing business in Singapore. The LLP will give the owners the flexibility of operating as a partnership whilst giving them limited liability. It combines the benefits of a partnership with those of private limited companies.

		Business, Sole-Proprietorship or Partnership				Under the Business Registration Act, "business" includes every form of trade, commerce, craftsmanship, calling, profession and any activity carried on for the purposes of gain.

		Private or Public Company				A company is a business entity registered under the Companies Act, Chapter 50. It has a legal personality i.e. it has rights to own properties, can sue or be sued. It usually has the words 'Pte Ltd' or 'Ltd' as part of its name.

We can help you sort out which business classification would meet your requirements and advise you on what to expect in the initial phases. If you have a written business plan, we could also help look through it and give you some pointers before you go to the bank. Business Registration

A business is the simplest form of business ownership and we can get clients started by applying for the business name of their choice, followed by its registration. Arrangement will then be made to endorse the newly formed business and request for certificates ensues.

Business Renewal

If required, we can assist our clients in the application for Inter-Bank Giro facilities and the renewal of business registration.

Business Changes

	We are able to perform and notify the relevant authorities for the following changes in a Business :

	(a)	Change in Business Name.

	(b)	Change in Business Particulars.

	(c)	Entry or Change in Particulars of Business Person, Next of Kin, Administrator, Executor or Executrix.

	(d)	Rectification of Errors in Business Documents.

Business Termination

We are able to facilitate business terminations and process its cessation requirements.

Company Services

Company Incorporation

A company is considered a legal person, which can have limited liability under the Company Act, Chapter 50. We are fully competent to take our clients through the entire incorporation process from the Application of New Company Name to the formulation of Memorandum & Articles of Association and finally onto the Endorsements by Directors, Secretaries, Shareholders & Subscribers. We are able to handle incorporations for private or public, local or foreign companies.

Conversion to Company

We can fulfill our clients intention to convert their existing business to a company.

Company Compliance

We are able to help our clients meet the requirements of company compliance in various matters relating to the preparation and filing for Annual Returns.

Company Changes

We are able to perform and notify the relevant authorities for the following changes in the Company :


	(a)	Change in Company Name.

	(b)	Change in Company Activities or Singapore Standard Industrial Classification (SICC) Code to be reflected in Business Profile.

	(c)	Alterations to Memorandum and Articles of Association.

	(d)	Conversion of Company Type.

	(e)	Change in Operating Hours or Registered Address where Registers of Members and Holders of Debentures are kept.

	(f)	Changes in Members, Contact Details or Particulars of Company Officers or Auditors.

	(g)	Endorsement or Cessation of Appointments of Company Officers or Auditors by Directors or Secretaries.

	(h)	Changes in Shares which include the acquisition of ordinary shares, stocks or non-redeemable preference shares, redemption of redeemable preference shares, return of allotment of shares, transfer of shares and changes in list of shareholders, increase or alteration in authorised share captial.

	(i)	Other Changes not mentioned above that the Company resolve to undertake.

Ending of Company

Either it is a winding-up or dissolution of Company; we are able to facilitate the ending of Company as receivers or liquidators when appointed by clients. As receivers or liquidators, we maintain an Account of Receipts and Payments in order to lodge the Statement of Affairs, prepare the Return relating to the Final Meeting and hold the Meeting of Creditors. From the Declaration of Solvency to the Striking Off of Company, our clients can be assured that all proceedings would be in order when they appoint us.

Limited Liability Partnership (LLP) Services

Registration of LLP

Although LLP is the latest vehicle for doing business in Singapore, our clients can be assured that we are proficient enough to take them through the registration process for LLP. We will also arrange for endorsement by managers or partners and request certificates for the newly formed LLP.

Conversion to LLP

We can fulfill our clients intention to convert their existing business or company to LLP.

LLP Compliance

We can help our clients in the preparation and filing of Annual Declaration or apply for an extension of time when necessary.

Changes in LLP

We are able to perform and notify the relevant authorities for the following changes in LLP :


	(a)	Change in LLP Name.

	(b)	Change in LLP Business Activity or Singapore Standard Industrial Classification (SICC) Code.

	(c)	Change in LLP Registered Address.

	(d)	Change in Contact Details or Particulars of Managers or Partners of LLP.

	(e)	Appointment or Cessation of Managers or Partners of LLP.

Ending of LLP

Whether it is voluntary wind up or dissolution of LLP, we are able to facilitate the ending of LLP as receivers or liquidators when appointed by clients. As receivers or liquidators, we maintain an Account of Receipts and Payments in order to lodge the Statement of Affairs, prepare the Return relating to the Final Meeting and hold the Meeting of Creditors. From the Declaration of Solvency to the Striking Off of LLP, our clients can set their mind at peace when they appoint us.
